Tax and IRS Matters

The requirements for nonprofits under the Internal Revenue Code have grown increasingly complex and no nonprofit today can afford to ignore these legal obligations.  We obtain tax exemption for new organizations and advise on unrelated business income tax issues, corporate sponsorship, private foundation regulations, disclosure requirements, taxable subsidiaries, international charitable activities, and virtually every other issue addressed by IRS rules targeted at tax-exempt organizations.

We also handle a wide range of general tax matters for our nonprofit clients, including employee benefits, employment taxes, and state sales taxes.  We have represented nonprofits on audit and at all levels of IRS proceedings.  Michael Trister, a firm partner, speaks and writes about tax issues affecting nonprofits and is active in bar and other policy groups addressing nonprofit tax issues.  Holly Schadler, a firm partner, represented Sierra Club in Sierra Club v. Commissioner of Internal Revenue, a case upholding the royalty treatment of income from mailing lists and affinity credit reports.

The IRS website has a host of resources for tax exempt organizations, including forms such as Form 1023, Application for Recognition of Exemption under Section 501(c)(3) of the Internal Revenue Code.
