Corporate Compliance

We do corporate work in all the local jurisdictions (District of Columbia, Maryland and Virginia) as well as in states throughout the country.  We incorporate new organizations, draft bylaws, help organizations develop an appropriate internal governance structure, prepare minutes of meetings, corporate resolutions, and dissolutions, and assist with annual corporate filings.  We also serve as registered agent for many of our District-based clients.  Rich Thomas takes the lead in handling the firm's work in this area.

General Business Advice

We consult on a wide range of day-to-day activities, reviewing leases, drafting contracts and software licenses, troubleshooting new projects and programs, and analyzing insurance and liability issues.  We assist organizations with the multitude of issues that arise in planning and hosting conventions, and with membership, ethics and discipline decisions.  We also have significant experience with compliance issues under the Americans with Disabilities Act.
 
Employee Benefits and Personnel

The firm represents clients on a wide range of personnel issues.  Compensation issues on which we consult include deferred compensation plans for key executives, pension and welfare benefit plan structures and requirements, employment tax questions, employee/independent contractor classification, and fringe benefits such as childcare, tuition assistance, and cafeteria plans.  We also draft employment contracts (including those for consultants), prepare and review personnel policy manuals, advise on the Fair Labor Standards Act and Family and Medical Leave Act, brief clients on equal employment opportunity, sexual harassment, and affirmative action rules, and represent clients in employee disputes.

Regulation of Federally-Funded Programs

The firm represents nonprofit organizations in dealing with the vast array of regulations and requirements that attach to the receipt of federal financial assistance, including OMB circulars governing costs and accounting methodology, the Hatch Act, the lobbying restrictions under OMB Circular A-122, government ethics rules, and the rules governing federally-funded legal services.
